The system is committed to establishing and maintaining a long and close partnership between Mindray and the supplier to improve transaction efficiency and security. Is a system tool for enterprise resource acquisition management base on the paternership expaning, common development and expansion of market share and achieve win together.          Please read the following terms and conditions carefully before using this system. If you are going to continue to browse and use this system, indicate you agree to abide by the following terms. If you cannot accept the following terms, please contact Mindray in writing to seek the alterative. Shenzhen Mindray Bio-tech electronics Ltd.and its subsidiaries, branch offices, representative offices and related Associate company(Mindray）reserves the right to change the terms of the system at any time. 1. System application          You will set up and keep the only account login SRM system to check the electronic purchase orders issued by Mindray. Click on the "order confirmation and generate the PDF button" to accept the order within 48 hours after the order issued by Mindray.Any confirmation after 48 hours will result in expiration of the purchase order and no contract will be formed and come into existence between You and Mindray. The purchase order you haveconfirmed is a legal document confirming the contents of the rights and obligations of the parties, you have the obligation to take delivery. Please take good care of the SRM system login account and password, for account and password leak, because the account and password leak, fraudulent use of any reason causing losses to Mindray, we will keep the rights to pursue your legal responsibility. 2. Account apply          After become Mindray's supplier, you will get a login account, the account is valid for your cooperation with Mindray. The initial password for the account provided by MINDRAY, you have an obligation to modify the initial password. 3. Password reset          If you have forgotten the password, or enter the wrong password in 1 hours for the 5 times caused the account locked, please contact your responsibility purchase engineers immediately, they will help you reset the password. After the password reset, you still have an obligation to log in and change the password.          Anytime you find the landing exception, be sure to get in touch with Mindray in writing immediately, so as to close the system in time. otherwise, any operation made by your account is treated as your own behavior. 4. Authorized person immediately          You have an obligation to establish a complete system of SRM system within your enterprise, there should be only one authorized person to keep the SRM system login password and take charge of order confirming and replying. If the authorized persons changes, you are obliged to serve a notice to Mindray's sourcing engineer to reset the password and designated new responsible person in written. otherwise, you will take adverse consequences because the system are fraudulent used, misused and abused. 5. Data loss          Mindray may upgrade or update the SRM system at any time, but limited to the technical level or unexpected incidents, we cannot completely avoid historical data loss. Once you accept to use the SRM system, which means that you are aware of the risk of such an important tip and can bear the any of the risk associated with it, and accept the disclaimer of Mindray. 6. No hotlinking          The unauthorized use of the hypertext link to the system, and the behavior of the web structure system which uses the content of the system to make use of the system. Mindray reserves the right to open it. 7. Intellectual property claims          This system, including (but not limited ) web design, structure, text, images, trademarks and / or service marks (including registered and unregistered), and other materials (here in after referred to the system) are protect by copyright law, trademark law and the other intellectual property laws in China or other countries. You are limited to self, license or condone the third party to copy, reorganization, compilation, publication, upload of this system. Within the scope of the legal permit, Mindray has the right to take any possible measures (including the application of criminal laws) to actively protect intellectual property rights. 8. Confidentiality          All the information and data transmitted through the SRM system are important business information which need to be kept confidential, you are obliged to take reasonable measures to prevent unauthorized disclosure, copying or use of such Confidential Information, the use of confidential information is bound by the agreement signed by you and Mindray. 9. Limitation of liability          In any case, For SRM system or due to the use of this system, or use a link to, refer to the system or any site or resource that is accessed through this system. Or as a result of use, download or access any data, information, products or services to or with the relevant any direct, indirect, incidental, special, exemplary or any kind of consequences of the damage compensation. Including but not limited to any loss of profit, loss of business interruption, loss of the amount of savings or loss of procedures or other data. Once you accept the use of this system that represent you accept Mindray is not responsible for the aforementioned damage compensation to you. Even if Mindray has been explicitly told that there may be such damage. The exclusion and abandonment of the liability is applicable to all complaints, whether it is based on contract, guarantee, or any other legal theory. 10. Entirety          The terms and conditions(and according to these terms of use SRM system formed the electronic data) agreed and signed between you and Mindray, namely [Purchase and Supply Agreement], [Quality Guarantee Agreement], [Non-disclosure Agreement] and other legal documents are indispensible part, and has the equal legal effect.
